Transforming Businesses Through the Power of Data

CONFORME:

This conforme serves as a deal sheet between DATA BOOST SOLUTIONS CORP. and the MERCHANT, outlining the commercial terms below for a period of 1 year. The agreement will automatically renew unless either party provides a termination/disengagement notice at least 30 days before the expiry date.

 

COMMERCIAL TERMS:

DATA BOOST SOLUTIONS CORP. will provide the Pay Service and handle the issuance, installation, and/or deployment of the app or portal. Fees will be based on transaction fees generated from various types of services, as defined in Annex A.

 

PRE-SERVICE:

Pre-Onboarding Requirements. Notwithstanding any proposal, term sheet, or application signed by the  MERCHANT, DATA BOOST SOLUTIONS CORP. reserves the right to cancel, delay, defer, or suspend delivery of the  Service if the necessary pre-onboarding requirements (as communicated to MERCHANT) are not  submitted on time or as requested. Pre-onboarding requirements include basic national and local  government registrations, basic corporate or legal documentation, and other relevant documents as may  be required by DATA BOOST SOLUTIONS CORP.

 

Grounds for Non-Delivery of the Service. Even if Pre-Onboarding Requirements have been provided to  DATA BOOST SOLUTIONS CORP. and/or a proposal, term sheet, or an application has been signed by MERCHANT,  DATA BOOST SOLUTIONS CORP. reserves the right not to proceed with delivering the Service (or, if already  rendered, terminate or suspend the Service), among others:

 

(a) if it is confirmed that the MERCHANT has made a material misrepresentation or has concealed any  material information in its Pre-Onboarding Requirements or in the proposal, term sheet, or application  form; or

 

(b) if MERCHANT is later found to be ineligible for the Service under DATA BOOST SOLUTIONS CORP.’ policies (such  as when the MERCHANT is blacklisted due to poor credit standing or has a history of fraudulent acts or  practices).

 

SCOPE OF SERVICE:

DATA BOOST SOLUTIONS CORP. will provide the Service by setting up payment facilities at stores or branches owned or operated by either DATA BOOST SOLUTIONS CORP. or the MERCHANT.

 

Once set up, AGENTS, PARTNERS, and MERCHANTS will be able to accept payments from customers using the "DATA BOOST SOLUTIONS CORP." app on their smartphones or portals. Customers can scan the Quick Response (QR) Code at the payment site or use other methods provided by the app or portal.

 

DATA BOOST SOLUTIONS CORP. will provide the MERCHANT with the necessary tools for each payment method.

• Notifications: SMS or email notifications for each completed transaction.

• Transaction Verification: Capability to verify transaction status via reports.

• Reports: Daily, weekly, and monthly transaction reports, as applicable.

• Virtual Wallet: Virtual wallet and daily bank settlement for non-individual accounts (banking days only).

• Training: One-time basic usage and troubleshooting training.

• Support: Merchant hotline.

DATA BOOST SOLUTIONS CORP. may modify the payment facility at any time, with timely notice to the MERCHANT.

USE OF THE SERVICE:

Intended Purposes

 

The MERCHANT shall use the payment facility only for its intended purposes and ensure it is always available to the public.

 

USER AND DATA PRIVACY:

• Data Ownership: User information collected through the payment facility is the exclusive property of DATA BOOST SOLUTIONS CORP. and will be managed according to its privacy policies and relevant laws.

• Data Sharing Restrictions: DATA BOOST SOLUTIONS CORP. will not share personal or sensitive information with the MERCHANT. The MERCHANT must obtain necessary information from its customers independently.

• Aggregated Data Sharing: Upon request, DATA BOOST SOLUTIONS CORP. may share aggregated and anonymized usage data with the MERCHANT, such as the number of customers using the service, average transaction amounts, and monthly payment volumes.

DATA SHARING:

The MERCHANT consents to DATA BOOST SOLUTIONS CORP. and its third-party partners using and processing collected data for various purposes, including risk management, marketing, communication, product development, customer experience improvement, and market research. The MERCHANT must comply with applicable privacy laws to protect data confidentiality and security.

COMPLIANCE WITH AMLA-CTF:

In compliance with the Anti-Money Laundering Act of 2001 (AMLA) and the Terrorism Financing Prevention and Suppression Act of 2012 (TFPSA), the MERCHANT will:

• Cooperate with DATA BOOST SOLUTIONS CORP. and report any suspicious transactions.

• Protect the integrity and confidentiality of the financial system.

• Assist in investigations and prosecutions related to money laundering activities.
